Consumers Energy filed a lawsuit on March 1, 2013 against Operation Unification, Inc., Village Food services, Charles Young, Lela (McGee) Johnson, and Joanne Burks, Jointly and Severally. Case # 13-100007 CK and the Judge was Richard Yuille.

The complaint links all of the defendants to the business address of 2050 Warner St. in Flint.

#7. Defendant Charles young is the principal shareholder of Operation Unification, Inc. and is involved in the management and day to day operations odf the company. Plaintiff is informed and believes that Mr. Young is also a shareholder of Defendant Village Food Services Inc.

#8. Defendant Operation Unification, Inc. is a company owned and operated by Defendant Young, which purchases and rehabilitates houses, and owns apartments and commercial properties in and around the City of Flint.

#9. Defendant Young was the principal shareholder and manager of OU Homes, Inc., a dissolved Michigan Corporation. OU Homes, Inc. owned and rented commercial properties.

#10. OU Homes, Inc. incurred large utility bills for gas and electric service which have not been paid. In addition, Consumers Energy Co. investigators found theft of energy services at numerous properties owned by OU Homes, Inc. for which Operation Unification, Inc. is liable.

The lawsuit further alleges that Charles Young moved the utilities from OU Homes to Operation Unification, Village Shore Properties, Inc. and Joanne Burks and also Village Food Services and Lela Johnson. Young also promised $10,000 a month until the bills were paid. These payments were never made.

Count I-Breach of Contract
Count II- fraud in the Inducement and Fraud in the performance
Count III- Conversion under MCL 600.2919a

Paragraph # 26- Operation Unification, Inc. and Village Food Services, Inc. have the same members, officers, and directors, and businesses, as the defunct entities Operation Unification, Homes, Inc. and Village Shore properties, Inc. and Defendants Charles Young, Lela Johnson and Joanne Burks have used these and the other corporate entities to perpetrate a fraud upon Plaintiff in order to obtain utility services an avoid payment for such services.

#28- The corporate defendant and the dissolved corporations have common management and business purposes, properties, operations, customers, supervision and ownership.

#29- On information and belief, at the time of entering into the contract for utility service with Consumers, the corporate Defendants and the dissolved corporations were undercapitalized rendering them unable to meet their obligations.

#30- Adherence to the fiction of separate corporate existence would sanction a fraud.

#39- Defendants have repeatedly, improperly, and without authorization, restored utility service after service has been discontinued by Plaintiff because of non-payment and unauthorized usage, constituting theft of energy services.

#40- Defendants actions are in violation of MCL 600.2919(a) and the Plaintiff is entitled to recover three (3) times the amount of actual damages suatained, $92,704.20 plus costs and reasonable attorney fees.

The Default Judgment was for $29,112.60 in damages, $640 in costs and $5,000 for attorney fees for total of $303,752.60.

Charles Young filed bankruptcy as an individual. His co-debtors attempted to cite his bankruptcy as a reason to stay the proceedings although Young never requested such a stay.
Consumers Energy, in their response to the Defendants' Motion To Set Aside Default, (Paragraph 6) .....Plaintiff's Complaint in this action alleges liability primarily on the part of Operation Unification, Inc., who was the account holder for the Consumers Energy services at the properties where the debts to Consumers Energy were incurred, Village Food Services, Inc. is also responsible for the debts. Individual Defendants Charles Young, Lela Johnson, and Joanne Burks, incurred liability as they are the corporate officers who participated in the fraud on Consumers, permitted theft of energy services, failed to ensure that the corporate entities paid the obligations incurred, and further are personally responsible for the debts.

#7- .......and affirmatively asserts that Plaintiff's knowledge of the bankruptcy of the individual debtor, Charles Young, is completely irrelevant to the instant action as there is no co-debtor stay, and Mr. Young's bankruptcy petition merely serves to absolve mr. Young of personal responsibility for business debts incurred. The bankruptcy filing does not relieve Operation Unification, Inc., Village Food Services, Inc., or the individual debtors of their responsibility for the debts incurred.

Attorney Adam Devlin had participated in the discussions of the Consumer's Energy demands for payment. "Failure on the part of Mr. Devlin to advise his clients of the consequences of failure to answer the Complaint does not constitute a basis for setting aside the default in this case,....

#10. .....Defendants have no meritorious defense to the allegations of this Complaint. Charles Young has chosen to file an individual bankruptcy, and Consumers Energy asserts there is a strong basis to object to the discharge of the debt by Mr. Young, given the evidence that suggests his participation in fraudulent transfers of accounts, efforts to avoid payment and repeated instances of energy teft at properties owned and managed by the Defendants.

State Representative Woodrow Stanley interceded on behalf of the corporation in March 2010 and Consumers did meet with Young.

Memo of 6/11/2010 from Kevin Keane of Consumers to Young noted that consumer had found 5 homes being rehabilitated that had jumpers in the meter socket and no meter and no request to provide services. Consumers also found tenants using false name to avoid paying previous bills after Consumers was assured they would receive only valid tenant information.

Memo of 9/29/10 from Dawn Bullard of Consumers Revenue recovery/fraud unit of Consumers Energy. They have identified 8 properties with bypassed meters. She states she has attempted workout payment plans at the request of Stanley, but Young and his business entities fail to keep their part of the deal. They are refusing to turnon utilities for their properties.

Acquisition - buyout of residential properties Under Way

Activity Description:
Operation Unification will acquire and rehabilitate 10 properties located in Area 3 of the City's Neighborhood Stabilization
Program target areas. The addresses of the properties are: 638 W. Ruth, 641 W. Ruth, 642 W. Ruth, 646 W Ruth, 613 W Lorado, 609 W Foss Ave., 633 W. Foss Ave., 646 W Austin, 634 W Austin. Operation Unification has begun the acquisition
process and has secured options to purchase each of these properties.

Location Description:
Operation Unification is working in Area 3 of the City's approved NSP plan. Area 3 is comprised of Census Tract 2 and is located in the northern most portion of the City of Flint. It is generally bounded by N. Saginaw, E. Russell, W. Russell, Dupont
and Mount Morris Township line.

Operation Unification is concentrating their development on Foss, Laredo, and Austin Streets in this area.

During this quarter, the Flint City Council approved entering into a total of five contracts totaling $1,335,513 for acquisition - rehab - resale to four different agencies. The following contracts were awarded:

Salem Housing has identified the following properties in Area 1 to acquire, rehab, and re-sell: 1615 Stone Street, 503 Copeman, 1658 N. Grand Traverse. In Area 2, Salem Housing will acquire 309 W. Van Wagoner and 3617 Mason St.,
rehabilitate and re-sell to income qualified buyers.

The City awarded a contract to Operation Unification to acquire and rehabilitate the following 5 structures in Area 3 of the City's NSP: 638 W. Ruth, 641 W. Ruth, 642 W. Ruth, 645 W. Ruth, 646 W. Ruth.

Another contract was awarded to the Genesee County Land Bank for rehabilitation of tax-foreclosed properties in Area 1. The Land Bank is using a combination of NSP,
HOME, and Land Bank funds to rehabilitate and re-sell six properties in their Hurley Redevelopment Area. Three of the following properties will be renovated using NSP funds: 713 Grand Traverse, 726 Stone Street, 707 Stone Street, 717 Stone
Street, 719 Stone Street, or 612 W. Second Avenue.

Finally, the City awarded a contract with Genesee County Community
Action Resource Department to acquire two units and build on two tax foreclosed vacant lots in the Smith Village Redevelopment Area in Area 1 of the City's NSP.

I was surprised when Operation Unification was soliciting for money in Florida. It seems the corporation owns these two properties in Florida, both small and not worth much. Still this was a surprise. I checked the owner addresses-2050 Warner Flint

The State of Michigan did not do their due diligence or they would have found the problems with the Board of Directors with the for profit and the non profit parts of Operation Unification.

FLINT - The Michigan Department of Human Services in Genesee County has joined the Flint-based nonprofit Operation Unification Incorporated to provide permanent housing and other support to young people and families in transition from foster care to independence.

"Together, we're working to ensure that youth and families involved in the child welfare system have viable opportunities that encourage them to become successful individuals and rebuild their families as part of sustainable communities in Flint and the surrounding areas," said Stacie Bowens, Genesee County DHS child welfare director.

The pilot program is modeled after Operation Unification's existing program that provides support for families who are in need of housing. The program includes a tenant training workshop, as well as credit counseling, financial budgeting and parenting classes, and child care. The young people are also paired with a mentor to help them on their journey to success. For example, they will learn life skills that include the proper way to shop, clean and plan their budgets, as well as gain self-direction.

"Children are our future," said Charles Young, Jr., executive director of Operation Unification. "And once they transition from foster care to independence, they often have no idea how to budget their income or move on to college. We're trying to create an environment so they can succeed and position themselves to home ownership."

Operation Unification began finding homes for youth transitioning from foster care to independence this summer; so far, three foster youth were placed in homes successfully. The program will place 60 young people and families in single family homes and duplexes throughout Flint and surrounding communities.

Young said the program wouldn't be possible without community partnerships with service providers, including Metro Housing and DHS.

Those interested in the housing help must fill out an application at the Operation Unification office at 2050 Warner St. in Flint. Potential applicants need a minimal income to cover rent and other household expenses; rent begins at $375 a month for an individual and $500 a month for a family. While applicants do not need good credit, the program will help make them credit worthy after two years so they can eventually own the home.

Ms. Durgan said the County has been acquiring and rehabilitating several homes in the community, including the Beecher District in Mt. Morris. She said there is a local
community organization called Operation Unification that has been focusing on
rehabilitation projects in the area. She said as part of the NSP program, staff Planning is allowed to allocate funding to organizations.


Commissioner Curtis said that was a prime example of how far out of touch the federal government is with reality. He said the economy has cause people to be foreclosed and lose their homes and funding isn’t allowed to be allocated to those who need it to stay in their homes. He said they rehab houses and there is no one to buy the house. He said funding should be used to help people stay in their homes.

people to refinance what they already have. He said there have been five homes in the last week in Clayton Township that have been vacated.
